AutoPilot is a comprehensive business management platform designed specifically for automotive businesses, including repair shops and modification specialists. Our Service provides tools for:

• Job and service order management
• Client and vehicle database management
• Workforce scheduling and tracking
• Invoice creation and payment processing
• Integration with accounting software (Xero and QuickBooks)
• Financial reporting and analytics

3. Eligibility and Account Registration

3.1 Age Requirement: You must be at least 18 years old to use our Service. By creating an account, you represent and warrant that you are 18 years of age or older.

3.2 Business Use: The Service is intended for use by businesses and business professionals. You represent that you are registering on behalf of a legitimate business entity.

3.3 Account Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 Account Security: You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription and Payment Terms

4.1 Subscription Plans: AutoPilot operates on a subscription basis. Subscription fees, features, and billing cycles are detailed during the signup process and may be updated from time to time.

4.2 Free Trial: We may offer a free trial period for new customers. If a free trial is offered, the specific duration will be communicated during signup. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your designated payment method for all fees due.

4.4 Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You will be charged automatically at the start of each billing period.

4.5 Payment Failures: If a payment fails, we will attempt to process the payment again. If payment continues to fail, we reserve the right to suspend or terminate your account and access to the Service.

4.6 Price Changes: We reserve the right to modify our subscription fees at any time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

4.7 Taxes: All fees are exclusive of applicable taxes (including VAT), which you are responsible for paying. Where required by law, we will collect and remit applicable taxes.

5. Cancellation and Refund Policy

5.1 Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team at sales@modcentraluk.com. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

5.2 No Refunds: All subscription fees are non-refundable. We do not provide refunds or credits for partial months or years of service, for downgrade of plans, or for months or years unused with an active subscription. No exceptions will be made.

5.3 Effect of Cancellation: Upon cancellation, your right to use the Service will cease at the end of your current paid period. Your data may be deleted in accordance with our data retention policies outlined in our Privacy Policy.

6. User Obligations and Acceptable Use

6.1 Compliance with Laws: You agree to use the Service in compliance with all applicable laws, regulations, and third-party rights.

6.2 Prohibited Activities: You agree not to:

• Use the Service for any illegal purpose or in violation of any local, national, or international law
• Violate or infringe upon the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or inappropriate content

6.4 Customer Data: You are responsible for obtaining all necessary consents and permissions from your customers and clients before collecting, storing, and processing their personal data through the Service.

7. Intellectual Property Rights

7.1 Our Rights: The Service, including all software, designs, text, graphics, logos, and other content, is owned by Modified Central Limited and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved.

7.2 Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during your subscription period.

7.3 Your Content: You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to use, store, and process Your Content solely to provide the Service to you.

7.4 Feedback: If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

8. Data Protection and Privacy

9.3 Authorization: By connecting third-party services to your AutoPilot account, you authorize us to access and exchange data with these services on your behalf as necessary to provide the Service.

10. Service Availability and Modifications

10.1 Availability: While we strive to provide continuous, uninterrupted access to the Service, we do not guarantee that the Service will be available at all times. The Service may be subject to downtime for maintenance, updates, or due to factors beyond our control.

10.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10.3 Updates: We may release updates, upgrades, or new features from time to time. These updates may change how certain features work or may require you to take certain actions to continue using the Service.

11. Termination and Suspension

11.1 Termination by You: You may terminate your account at any time as described in Section 5.

11.2 Termination by Us: We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of subscription fees
• Fraudulent, illegal, or abusive activity
• At our discretion if we cease to operate the Service

11.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your data following termination. We are not liable for any loss or damage resulting from termination of your account.

11.4 Survival: Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Disclaimers and Warranties

12.1 "AS IS" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee: We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Service will be accurate or reliable
• Any errors in the Service will be corrected

12.3 Your Responsibility: You acknowledge that your use of the Service is at your sole risk and that you are solely responsible for any damage to your computer system, loss of data, or other harm that results from your use of the Service.

13. Limitation of Liability

13.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MODIFIED CENTRAL LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

13.2 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR £100, WHICHEVER IS GREATER.

13.3 Statutory Rights: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Modified Central Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Any content you submit, post, or transmit through the Service
• Your violation of any applicable laws or regulations

15. Governing Law and Dispute Resolution

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15.2 Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Modified Central Limited regarding the Service and supersede all prior agreements.

16.2 Amendments: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

16.3 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.5 Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.6 Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
